1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Subscriber,” “you,” or “your”) and Platinum Media Solutions (“Company,” “we,” “our,” or “us”), governing your access to and use of Empirical Logic Research Intelligence available at empiricalogic.com (the “Service”).

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Empirical Logic Research Intelligence provides healthcare professionals with subscription-based access to marketing content derived from peer-reviewed medical research. The Service delivers research-based marketing materials including but not limited to:

  • Executive summaries of medical research
  • Patient education materials
  • Social media content
  • Email templates
  • Video scripts
  • Other marketing assets based on current medical literature

The content is designed to support healthcare professionals in building authority and communicating with patients. All content is for marketing and educational purposes only.

3. Eligibility and Account Registration

3.1 Eligibility

The Service is intended for licensed healthcare professionals, medical practices, and related healthcare organizations. By registering, you represent that:

  • You are at least 18 years of age
  • You are a licensed healthcare professional or authorized representative of a healthcare organization
  • All registration information you provide is accurate, current, and complete
  • You will maintain the accuracy of such information

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these Terms or engage in unauthorized activity.

4. Subscription Terms

4.1 Subscription Tiers

We offer multiple subscription tiers with varying levels of content access and features. Specific features and pricing for each tier are described on our website at the time of subscription.

4.2 Payment and Billing

  • Subscriptions are billed on a monthly or annual basis as selected during registration
  • Payment is processed automatically through our payment processors (Stripe or Square)
  • You authorize us to charge your selected payment method for all fees due
  • All fees are stated in U.S. dollars
  • Prices are subject to change with 30 days’ advance notice

4.3 No Refunds

All subscription fees are non-refundable. We do not provide refunds or credits for:

  • Partial months of service
  • Unused content or features
  • Subscription cancellations
  • Account terminations or suspensions

We encourage you to review the Service thoroughly before subscribing.

4.4 Cancellation

You may cancel your subscription at any time by contacting us at info@platinummediasolutions.com. Upon cancellation:

  • You will retain access to the Service through the end of your current billing period
  • No further charges will be made to your payment method
  • Access to the Service and content will terminate at the end of the paid period
  • No refunds will be issued for unused portions of the subscription period

4.5 Free Trials or Promotional Periods

We may offer free trials or promotional pricing at our discretion. Specific terms will be communicated at the time of the offer. Free trials automatically convert to paid subscriptions unless cancelled before the trial period ends.

5. License and Intellectual Property

5.1 Limited License to Content

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and download content provided through the Service
  • Use, modify, and adapt the content for your own marketing and patient communication purposes
  • Create derivative works based on the content for use in your own practice

5.2 Ownership

All content provided through the Service, including but not limited to text, graphics, designs, templates, and compilation, remains the intellectual property of Platinum Media Solutions or its licensors. Your license to use the content does not transfer ownership rights.

5.3 Derivative Works

When you modify or adapt our content for your use:

  • You retain ownership of your unique modifications and personalizations
  • The underlying content remains our intellectual property
  • You may not resell, redistribute, or sublicense the original or modified content to third parties
  • You may use modified content for your own practice’s marketing and patient communication

5.4 Restrictions

You may NOT:

  • Resell, redistribute, or sublicense the content to others
  • Share your account credentials with non-subscribers
  • Create a competing service using our content
  • Remove copyright notices or attributions from the content
  • Use automated means (bots, scrapers) to access or download content in bulk
  • Reverse engineer or attempt to extract source content or methodologies

6. User Responsibilities and Conduct

6.1 Professional Responsibility

As a healthcare professional, you acknowledge and agree that:

  • You are solely responsible for reviewing, verifying, and approving all content before use with patients
  • You must ensure all content is medically accurate and appropriate for your specific patient population
  • You must comply with all applicable medical standards, regulations, and ethics guidelines
  • You are responsible for maintaining patient confidentiality and HIPAA compliance in your use of the content

6.2 Medical and Legal Compliance

You agree to:

  • Comply with all applicable local, state, and federal laws and regulations
  • Obtain all necessary licenses and certifications for your practice
  • Ensure your marketing practices comply with healthcare advertising regulations
  • Verify that content is appropriate for your specialty and jurisdiction

6.3 Prohibited Conduct

You may not:

  • Violate any laws or regulations in your use of the Service
  • Infringe on the intellectual property rights of others
  • Use the Service for any fraudulent or unlawful purpose
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any part of the Service
  • Transmit viruses, malware, or other harmful code
  • Harass, abuse, or harm other users or our staff

7. Content Disclaimer and Warranties

7.1 Service Provided “AS IS”

THE SERVICE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7.2 No Guarantee of Accuracy

While we strive to provide accurate, high-quality content based on peer-reviewed research:

  • We do not warrant that the content is error-free, complete, or current
  • Medical research and standards evolve continuously
  • You are responsible for verifying all information before use
  • We make no guarantees regarding the effectiveness of the content for your marketing purposes

7.3 Service Availability

We do not guarantee that:

  • The Service will be uninterrupted, timely, secure, or error-free
  • Any errors or defects will be corrected
  • The Service will be available at any particular time or location

7.4 Updates and Modifications

We reserve the right to:

  • Modify, suspend, or discontinue any aspect of the Service at any time
  • Update or change content, features, or subscription plans
  • Refuse service to anyone for any reason

8. Limitation of Liability

8.1 Disclaimer of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLATINUM MEDIA SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Unauthorized access, use, or alteration of your content
  • Medical outcomes or patient care decisions based on content from the Service
  • Business losses, lost revenue, or lost opportunities

8.2 Liability Cap

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

8.3 Essential Purpose

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Platinum Media Solutions, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your use of content in providing patient care or marketing services
  • Medical advice or treatment you provide to patients using materials derived from our content
  • Any negligence or willful misconduct in connection with the Service

10. Medical Disclaimer

EMPIRICAL LOGIC RESEARCH INTELLIGENCE AND PLATINUM MEDIA SOLUTIONS DO NOT PROVIDE MEDICAL ADVICE. Please refer to our separate Medical Disclaimer page for complete information regarding the limitations of our Service as it relates to medical practice and patient care. The Medical Disclaimer is incorporated into these Terms by reference.

11. Third-Party Services

The Service may integrate with or contain links to third-party services, including:

  • Payment processors (Stripe, Square)
  • Cloud storage providers (AWS)
  • Analytics services (Google Analytics)

Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices or content of third-party services.

12. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our Privacy Policy.

13. Termination

13.1 Termination by You

You may terminate your subscription at any time as described in Section 4.4 (Cancellation).

13.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including:

  • Breach of these Terms
  • Providing false or misleading information
  • Engaging in fraudulent activity
  • Non-payment of fees
  • Conduct that harms or could harm the Service or other users
  • At our sole discretion for business reasons

13.3 Effect of Termination

Upon termination:

  • Your right to access and use the Service immediately ceases
  • You remain liable for all fees incurred prior to termination
  • Sections of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability

13.4 Data After Termination

Following termination, we will retain your data for one (1) year as described in our Privacy Policy, after which it will be deleted.

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law provisions.

14.2 Jurisdiction and Venue

You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be filed exclusively in the state or federal courts located in Mecklenburg County, North Carolina. You consent and submit to the personal jurisdiction of such courts and waive any objection to venue.

14.3 Informal Resolution

Before filing any legal claim, you agree to first contact us at info@platinummediasolutions.com to attempt to resolve the dispute informally. We will make good faith efforts to resolve disputes amicably.

14.4 Class Action Waiver

YOU AGREE THAT ANY DISPUTE SHALL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make changes:

  • We will update the “Last Updated” date at the top of this page
  • For material changes, we will provide at least 30 days’ notice via email or through the Service
  • Your continued use of the Service after the effective date of changes constitutes acceptance of the modified Terms

If you do not agree to the modified Terms, you must cancel your subscription before the changes take effect.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, Medical Disclaimer, and Cookie Policy, constitute the entire agreement between you and Platinum Media Solutions regarding the Service and supersede all prior agreements.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, natural disasters, pandemics, or government actions.

16.6 Electronic Communications

You consent to receive electronic communications from us, including emails to your registered address. You agree that all agreements, notices, and other communications that we provide electronically satisfy any legal requirement that such communications be in writing.

16.7 Feedback

If you provide us with any feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback without compensation or attribution.

18. Acknowledgment

BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. YOU FURTHER ACKNOWLEDGE THAT THESE TERMS REPRESENT THE COMPLETE AND EXCLUSIVE STATEMENT OF AGREEMENT BETWEEN US AND SUPERSEDE ANY PRIOR OR CONTEMPORANEOUS PROPOSALS OR AGREEMENTS, ORAL OR WRITTEN.
